Terms of Service

1. Acceptance of Terms and Mutual Assent

By clicking "I Agree," checking the consent box during registration, or explicitly creating an account to access the Player Index SaaS API, you affirmatively agree to these Terms of Service. Assent is not inferred merely by browsing the website; this is a mandatory click-wrap agreement. If you do not agree to these terms, you may not use our services.

2. Description of Services

We provide the Player Index Quantitative Engine (Fintech API), which delivers market indices, valuations, and data analytics. Our services utilize Artificial Intelligence (AI) and predictive algorithms to aggregate market data.

3. Affiliate Disclosure and Compensation

Player Index participates in affiliate marketing programs. In compliance with the U.S. Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255), we disclose all material connections with the third parties to which we refer traffic:

• eBay Partner Network (EPN): As an eBay Partner, we may earn a commission if you click an outbound eBay link on our site and subsequently make a qualifying purchase on eBay. This compensation does not affect the price you pay.
• No Pay-for-Placement:Our algorithmic rankings, forecasts, and market-data outputs are not influenced by affiliate relationships. Commissions are received only after a user independently initiates and completes a qualifying action on the third party's platform.
• White-Label Template Disclosures: If the Player Index white-label storefront template includes hardcoded eBay affiliate links, the template contains a built-in FTC disclosure in the footer. Storefront operators are responsible for reviewing and maintaining the accuracy of affiliate disclosures on their deployed sites.

4. Acceptable Use and Network Compliance

To maintain the integrity of our integrations with third-party networks like Google AdSense and the eBay Partner Network, your use of the API and our services is subject to strict acceptable use standards:

• Traffic Quality: You must not use our services or API in conjunction with paid-to-click programs, automated click/impression generating tools, bots, or deceptive software to artificially inflate advertising traffic or affiliate clicks.
• Copyrighted Content: You must not use our API to scrape, disseminate, or display copyrighted content, images, or assets for which you do not hold a license or ownership.
• Abusive Experiences: You must not utilize our services in a manner that creates misleading navigational elements, unauthorized auto-redirects, or manipulative interfaces designed to trick users into clicking links or advertisements.

5. Artificial Intelligence Disclaimers and EU AI Act Transparency

In compliance with global AI regulations, including the EU AI Act, you are hereby notified that you are interacting with and receiving outputs generated by Artificial Intelligence. By using the API, you agree to the following:

• No Reliance on Output:AI outputs may not always be accurate, and you should not rely on the API's output as a sole source of truth or factual information, nor as a substitute for professional advice. You must evaluate the output for accuracy and appropriateness for your use case, including using human review as appropriate.
• Prohibited "High-Risk" Uses: You must not use any AI output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions.
• System Limitations: The services may provide incomplete, incorrect, or offensive output that does not represent our views.
• Binder Ingestion Accuracy: When using the scanner to digitize cards for your Binder, the AI may misidentify specific parallels, sets, or print runs. You are strictly responsible for verifying the accuracy of the auto-populated card data before saving the item to your portfolio.

6. Financial and Investment Disclaimer

Portfolio Tracking and Tax Disclaimer:The 'My Binder' feature calculates estimated Profit & Loss (P&L) and portfolio valuations based on your self-reported cost basis and our algorithmic fair market estimates. These figures are strictly for personal informational purposes. Player Index is not a licensed accounting software. You must not rely on our P&L calculations for official tax reporting, capital gains filings, or accounting purposes.

7. Subscription Management, Billing, and Cancellation (The "Symmetry Rule")

• Billing and Payment: By enrolling in a B2B API subscription, you explicitly authorize Player Index to charge your designated payment method on a recurring monthly basis via our PCI-DSS compliant third-party payment processor, Stripe.
• Failed Payments: If a recurring payment fails or is declined, your API key access will result in immediate suspension until the outstanding balance is successfully settled.
• Cancellation:We are committed to subscription transparency. In compliance with global consumer protection standards regarding "dark patterns," canceling your subscription is just as easy as enrollment. You may cancel your subscription at any time through your dashboard with a single click, without the requirement of a phone call or submitting a support ticket.
• Portfolio Data Retention:You are solely responsible for maintaining backups of your collection ledger. If you terminate your account, or if your account is suspended due to failed payments under the Symmetry Rule, Player Index is not liable for the loss, deletion, or inaccessibility of your 'My Binder' portfolio data.

The aforementioned limitations of liability and exclusions of damages do not apply to the following specific exceptions:

• Violations of data protection and privacy laws (e.g., GDPR, CCPA).
• Breaches of confidentiality obligations.
• Intellectual property infringement indemnities.
• Damages resulting from willful misconduct, gross negligence, or violation of law.

11. Intellectual Property and Acceptable Use

All proprietary algorithms, database schemas, and codebase structures remain our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the API.

• Prohibited Conduct:You may not attempt to reverse engineer, decompile, or discover the source code or underlying components of the services. You may not use the API for unauthorized bulk scraping that exceeds your tier's rate limits.

12. Data Privacy and Processing

Your use of the service is also governed by our Privacy Policyand, where applicable, our Data Processing Addendum (DPA). We utilize security measures to protect personal data. If you are subject to the CCPA, you have the right to opt-out of the "sale" or "sharing" of your data for targeted advertising. If you are located in the EU/UK, your data will only be processed in accordance with the GDPR, utilizing approved transfer mechanisms like Standard Contractual Clauses (SCCs).

13. Store Claim Flow and Third-Party Hosting

Player Index offers a "white-label card shop" deployment flow (the Claim Your Store page) that allows you to provision an independent storefront instance preconfigured to consume the Player Index API. You acknowledge and agree to the following before initiating the claim flow:

• Two Separate Services: Deploying a white-label shop creates and bills two distinct service relationships: (a) your Player Index account (governed by these Terms and, if applicable, a paid B2B API subscription billed by Player Index via Stripe under §7), and (b) a hosting account on Railway.com (billed directly by Railway under Railway's own terms of service). Player Index does not collect, handle, or receive Railway hosting fees.
• Independent Infrastructure: Each deployed storefront receives its own dedicated Postgres database and Tigris object-storage bucket provisioned by Railway. The data stored in these databases is under the sole ownership and control of the storefront operator. Player Index has no access to the contents of these databases.
• API Key: The claim flow mints a permanent Player Index API key for your account that is automatically injected as a Railway environment variable for your storefront via OAuth. Only a cryptographic hash is stored on Player Index servers. You are solely responsible for safeguarding the plaintext key and your deployed environment.
• Open-Source Template: The white-label storefront source code is provided under its stated open-source license. You are not obligated to host it on Railway. Using a hosting provider other than Railway may forfeit one-click provisioning convenience but does not invalidate your Player Index API subscription.
• No Warranty on Third-Party Uptime: Player Index is not responsible for Railway outages, billing disputes, account suspensions, data loss, or any other action taken by Railway against your hosting account. Disputes regarding Railway service must be resolved directly with Railway.

14. Merchant Responsibility for White-Label Storefronts ("Shop Owner Obligations")

If you deploy a white-label storefront (whether via the claim flow or independently), you operate an independent e-commerce business and take on legal responsibilities that Player Index cannot and does not assume on your behalf. By deploying a storefront, you represent and warrant that:

• Data Controller Status: You are the sole data controller for any personal information collected from your shoppers (names, email addresses, shipping addresses, trade-offer content, payment identifiers, etc.) under the CCPA, GDPR, UK GDPR, and any other applicable privacy law. Player Index acts only as a data processor or sub-processor for data that transits our API.
• Your Own Legal Pages: You must publish and maintain your own Terms of Service, Privacy Policy, and (where applicable) shipping, refund, and cookie policies that accurately describe your business. The white-label template includes editable default pages at /privacy, /terms, and /dmca as a starting point; you remain solely responsible for reviewing, customizing, and keeping them current.
• Consumer Compliance: You are solely responsible for complying with all consumer-facing retail laws applicable to your storefront, including but not limited to sales tax collection and remittance, shipping regulations, consumer protection statutes, the EU Digital Services Act (if accessible to EU users), and any KYC or identity verification requirements for high-value transactions.
• Payment Processing:The default template uses peer-to-peer payment links (PayPal, Venmo, Cash App, Zelle). You are solely responsible for complying with each processor's acceptable-use policy, for tax collection and remittance in your jurisdiction, and for chargeback, dispute, and refund handling.
• Product Legitimacy: You warrant that all merchandise you list and sell is lawfully obtained, authentic, and not counterfeit, stolen, or subject to third-party intellectual-property restrictions. Player Index reserves the right to revoke API access for any storefront found to be selling counterfeit or otherwise unlawful merchandise.

15. Intellectual Property Infringement & DMCA

Player Index respects the intellectual-property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content accessible through our API or sites infringes your copyright, please review our DMCA Notice and Takedown Policy for instructions on submitting a takedown notice and designated-agent contact information.

16. Scanner API & User-Generated Content

When you upload card photographs to the Player Index Scanner API via POST /scan/upload, the images are temporarily processed on Player Index infrastructure. By uploading content, you represent and warrant that:

• You own or have obtained all necessary rights to the uploaded images.
• The images do not infringe any third-party copyright, trademark, or other intellectual-property right.
• The images do not contain unlawful, defamatory, or fraudulent content.

Player Index may remove or refuse to process any content that violates these representations. Repeated violations will result in permanent API key revocation per our DMCA Policy.

17. Content Moderation & Digital Services Act (DSA)

In compliance with the EU Digital Services Act (Regulation (EU) 2022/2065), Player Index maintains a notice-and-action mechanism for reporting illegal content processed by our infrastructure. Reports may be submitted via our reporting form or by emailing admin@verdicsystems.com.

Storefront Operators:If your white-label storefront is accessible to users in the European Union, you are independently classified as a "hosting provider" under the DSA and must implement your own notice-and-action mechanism, transparency reporting, and content moderation policies as required by DSA Articles 16–18.

18. Minimum Age Requirement

You must be at least 13 years of age to create a Player Index account or use any of our services. If you are between 13 and 18, you may only use the services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

19. Amendments and Notice

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page.
• Provide at least 30 days' advance notice to all registered developers via the email address associated with their Player Index account.
• Post a conspicuous notification on the Developer Dashboard.

Your continued use of the API after the effective date of any amendment constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must discontinue use of the API before the amendment takes effect.
